License, Terms & Conditions

The High School (the “School”) has been recognized by U.S. News & World Report(“U.S. News”) as a gold, silver or bronze “Best High School” in U.S. News’s Best High Schools 2014 rankings. This agreement sets forth the terms on which School may use a badge recognizing such ranking and containing, among other things, the U.S. News logo (a “Best High Schools 2014 Badge” or “Badge”).

U.S. News hereby licenses School to use a Best High Schools 2014 Badge for display on only one website that is directly related to the School (“School Website”). Additional uses of the Badge – such as in print, for broadcast or in other digital media – and any use whatsoever of the U.S. News logo, or any other text, photograph, graphic, cover or image of U.S .News products requires the permission of U.S. News’s licensing agent, Wright’s Media (usnews@wrightsmedia.com or 877-652-5295). Such permission may include a license fee and may be granted or withheld in the sole discretion of U.S. News and Wright’s Media on such conditions as they may set.

U.S. News & World Report, L.P. (“U.S. News”) hereby grants School a royalty-free license on the terms and conditions set forth herein to display the Badge on the School Website.

The license is for a period beginning on the date School submits the Badge Request Form and lasting either 12 months thereafter or the next publication of the U.S. News Best High Schools rankings, whichever comes first; the School will remove all Badges from all media at the end of such period.

A Badge authorized under this Agreement must link back to the directory page at usnews.com that features the School.

This license includes only the right to display the Badge on the School Website. Any other uses are excluded, including but not limited to (i) the display of the Badge on any other websites including social media sites, and (ii) the republication of U.S. News articles or other content in print or digital form, signs, plaques or lapel pins, all of which usages and products may be licensed separately.

The size of a Badge for placement on a website may be no smaller than 85 pixels wide. U.S. News and School hereby agree to the Best High Schools 2014 Award Badge Permission, including the Terms & Conditions set forth below.

School acknowledges that the license made hereunder will in no way affect, positively or negatively, the ranking of School or its programs.

A Badge is not transferable, and may not be used by any parents, subsidiaries, affiliates and/or franchisees without U.S. News approval.

A Badge shall only be used for the purpose of identifying the School as having been named to the U.S. News Best High Schools 2014 list and not to imply an endorsement of any products or services.

The use of a Badge is subject to the School correctly describing its ranking or recognition in U.S. News Best High Schools 2014. U.S. News has the right to monitor use of the Badges, and if U.S. News determines at any time in its sole discretion that School’s description of its placement in U.S. News Best High Schools 2014 is or becomes inaccurate for any reason, or that School is no longer entitled to use such a Badge, U.S. News will notify the School, and the School agrees that it shall immediately remove, or change, such materials in accordance with U.S. News’s request.

The Best High Schools 2014 Badges shall only be used in the form and colors indicated, without modifications or alterations. Such Badge will not be used in a way that would reflect poorly on U.S. News.

The School acknowledges that all Best High Schools 2014 Badges are trademarked and copyrighted creations belonging to U.S. News & World Report, L.P. and that all rights accruing from the use of the marks shall be to the benefit of U.S. News & World Report, L.P.

School grants U.S. News the right to reproduce and display School creative to demonstrate the use of the Badge, and School represents to U.S. News that it has the right to grant such rights. School shall hold U.S. News & World Report, L.P. and its parents, subsidiaries and affiliated and related companies, and its directors, officers, employees, agents and representatives, harmless from, and indemnify each of them against, any and all liability, loss, damage or injury, including reasonable attorney’s fees, relating either directly or indirectly to, or arising from, School’s breach of this Agreement, School’s use of the Badge, the purchase and/or use of the School’s programs or services by one or more consumers, and/or the School’s business, activities, products, and operations, including but not limited to programs and services advertised by School using the Badge.

U.S. NEWS MAKES NO WARRANTIES, EXPRESS, IMPLIED OR ARISING BY CUSTOM OR TRADE USAGE, HEREUNDER (INCLUDING WITH REGARD TO THE BADGES) AND, SPECIFICALLY, MAKES NO WARRANTY OF ADEQUACY, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. THE LIABILITY OF U.S. NEWS OR ITS RESPECTIVE PARENTS, SUBSIDIARIES AND AFFILIATED AND RELATED COMPANIES, AND THE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND REPRESENTATIVES OF EACH OF THEM, FOR ANY ACT, ERROR OR OMISSION FOR WHICH THEY MAY BE HELD LEGALLY RESPONSIBLE SHALL NOT EXCEED $25. U.S. NEWS SHALL HAVE NO LIABILITY FOR CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES HEREUNDER, INCLUDING BUT NOT LIMITED TO THE COSTS OF DESIGNING, PRODUCING AND DISTRIBUTING SCHOOL’S ADVERTISNG AND MARKETING MATERIALS.

School agrees to be bound by the terms of this contract. This contract shall be governed by and construed in accordance with the substantive laws of the state of New York. Any civil action or proceeding arising out of or related to this contract shall be brought in the courts of record of the state of New York in New York County or the U.S. District Court for the Southern District of New York. School (and, if applicable, its agency) consents to the exclusive jurisdiction of such courts and waives any objection to the laying of venue of any such civil action or proceeding in such courts.

This Agreement contains the final and entire agreement of the parties and may not be modified without a writing executed by both parties.

Except as set forth herein, no other use of a Badge may be made without U.S. News’s prior express written approval. For any use whatsoever of the U.S. News & World Report logo, or any other text, photograph, graphic, cover or image of U.S. News & World Report publications or usnews.com, the School agrees that it shall contact permissions@usnews.com for specific written authorization which may be granted or denied in the sole discretion of Wright’s and U.S. News.

In the event of a breach by School of this Agreement, the license is void and, upon notice from U.S. News, Licensee will cease all uses of the licensed content.

To the extent that an advertising agency or other third party signs this Agreement on behalf of School, such advertising agency or other third party represents that it has the authority to bind School hereunder and shall, along with School be jointly and severally liable for all obligations of School hereunder.
